These Terms of Service ("Terms") govern your access to and use of IdeaAudit ("we," "us," or "our"), our website, web application, and AI-powered startup idea validation platform (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service. We may update these Terms from time to time; continued use after changes constitutes acceptance.

1. Acceptance of Terms

By creating an account, submitting a startup idea for validation, or otherwise using the Service, you agree to these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you must have parental or guardian consent. You must not be prohibited from using the Service under applicable law. By using the Service, you represent that you meet these requirements.

3. Account Registration

You may use certain features without an account (e.g., preliminary validation). To unlock full reports, save ideas, or use the Company Builder, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password
• Notify us promptly of any unauthorized access
• Accept responsibility for all activity under your account

4. Service Description

IdeaAudit provides AI-powered startup idea validation. Our Service includes:

• Preliminary Score: A quick assessment based on your idea description
• Full Validation Report: Demand scores, competition analysis, monetization assessment, and honest feedback (requires credits)
• Company Builder: A 7-stage guided workflow for developing your idea (Builder Pro plan)
• Credits: 1 validation = 1 credit. New users receive 1 free credit.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will use reasonable efforts to notify users of material changes.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Violate any applicable law or regulation
• Infringe on the intellectual property or rights of others
• Submit false, misleading, or fraudulent information
• Attempt to gain unauthorized access to our systems or other accounts
• Use the Service to distribute malware or harmful code
• Resell, redistribute, or commercially exploit the Service without our consent
• Use automated means (bots, scrapers) to access the Service except as permitted

We may suspend or terminate your access if we believe you have violated these Terms.

6. Payment and Credits

Credits: Validation reports consume credits. Credits are purchased in packs (e.g., 3, 10, or 300 credits). Credits do not expire and are non-refundable except as required by law.

Payment: Payments are processed via Stripe. You authorize us to charge your payment method for purchases. All fees are in U.S. dollars unless otherwise stated. Prices may change; we will notify you of material price changes.

Refunds: We do not offer refunds for used credits. Unused credits may be eligible for refund within 14 days of purchase; contact support@ideaaudit.com.

7. Intellectual Property

The Service, including its design, features, algorithms, and content (excluding User Content), is owned by IdeaAudit and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business use in accordance with these Terms.

8. User Content

Your Content: You retain ownership of the startup ideas and content you submit ("User Content"). By submitting User Content, you grant us a license to process it through our AI systems to provide the Service, store it in connection with your account, and generate validation reports.

AI Reports: Validation reports generated by our AI are provided for your use. You may use them for your own business purposes. We do not use your User Content to train or improve AI models.

Responsibility: You are solely responsible for your User Content. You represent that you have the right to submit it and that it does not violate any third-party rights or applicable law.

9. Prohibited Conduct

You must not:

• Submit ideas that contain illegal, harmful, or offensive content
• Attempt to reverse-engineer or extract our AI models or algorithms
• Share your account credentials or allow others to use your account
• Circumvent credit or payment systems
• Interfere with the proper functioning of the Service

10. Termination

You may stop using the Service at any time. You may request account deletion by contacting support@ideaaudit.com.

We may suspend or terminate your access immediately if you breach these Terms, without prior notice. Upon termination, your right to use the Service ceases. Unused credits are forfeited upon account termination.

Sections that by their nature should survive (e.g., Intellectual Property, Limitation of Liability, Indemnification) will survive termination.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

Our AI validation is designed to provide honest, data-informed feedback. It is not a substitute for professional business, legal, or financial advice. Validation scores and reports are for informational purposes only. We do not guarantee the accuracy, completeness, or usefulness of any validation. You should conduct your own research and consult professionals before making business decisions.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We are not responsible for any decisions you make based on our validation reports.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for any loss of profits, data, goodwill, or business opportunities

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless IdeaAudit, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.
